1. Acceptance of Terms

By accessing or using Farthingly's expense management platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Farthingly provides a cloud-based expense management platform that enables businesses to track, approve, and reimburse employee expenses. The Service includes receipt scanning, multi-currency support, approval workflows, and payment integrations.

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be at least 18 years old or the legal age in your jurisdiction
  • Have authority to bind your organization if registering on behalf of a company

4. Acceptable Use

You agree not to:

  • Submit fraudulent or falsified expense claims
  • Use the Service for money laundering or other illegal activities
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Violate any applicable laws or regulations

5. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Reimbursements processed through the platform may be subject to payment processor fees.

6. Data Ownership

You retain ownership of all data you submit to the Service. By using the Service, you grant Farthingly a limited license to process your data solely for the purpose of providing the Service. Upon account termination, you may export your data within 30 days.

7. Limitation of Liability

To the maximum extent permitted by law, Farthingly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our control.

9. Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately for violation of these terms. Upon termination, your right to use the Service ceases, but data retention obligations continue as outlined in our Privacy Policy.

10. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through binding arbitration in Lagos, Nigeria, unless otherwise required by applicable law.
